Michael S. McGovern is Partner, Corporate + Securities at MWR Legal, where he represents domestic and foreign nano-, micro-, and small-cap companies, private equity funds, investors, and industry professionals in the areas of Capital Markets and Private Placements, Venture Capital and Private Equity, Mergers and Acquisitions, Private Equity Funds, Funds of Funds, Corporate Finance, Taxation, Cross-Border Transactions, Corporate Counsel and Corporate Governance, and Securities Law and Compliance.  Mike works directly with his clients on transactions focused primarily in the technology, consumer products, and financial and investment products industries, ranging in size from $250 thousand to over $100 million, and involving parties located in the United States, United Kingdom, Denmark, Germany, Australia, China, Spain, Canada, and Mexico.

Prior to joining MWR Legal, Michael McGovern practiced for several years as an Associate in the Corporate & Securities, Labor & Employment, and Real Estate departments at Reed & Scardino LLP in Austin, Texas.  Before that, he was a Corporate, Securities, and Tax Associate at Crowe & Dunlevy, P.C., in Oklahoma City.  During law school, he clerked for an international investment financial institution in Washington, D.C., an oil and gas firm in Oklahoma City, and the Oklahoma Office of the Attorney General. Before pursuing his legal career, Mike served as a Financial Advisor at Wachovia Securities, LLC, and a Business and Personal Banker at Wachovia Bank, N.A.

Michael McGovern earned his Master of Laws (LL.M.) in Taxation with Highest Honors from Georgetown Law in 2012. In 2011, Mr. McGovern graduated Magna Cum Laude as a Merit Scholar from Oklahoma City University School of Law, where he served as a member of Law Review, Moot Court Society, Phi Kappa Phi National Honors Society, Phi Delta Phi International Legal Honors Society, and the William J. Holloway, Jr. American Inn of Court, and was a recipient of Deans List and Faculty Honor Roll honors, as well as the Oklahoma Bar Association’s Corporate Law Award of 2011. He earned his B.A. from the University of Maryland, where he graduated with Honors.

Mike is licensed to practice law in Texas, Oklahoma, and before the United States District Court for the Western District of Oklahoma.
